By accessing, using or purchasing anything through The Banff Centre website, www.banffcentre.ca (the “Site) you accept and agree to comply with the following Terms of Use (and which include The Banff Centre Privacy Policy). If you do not agree with these Terms of Use you should immediately cease using the Site. The Banff Centre reserves the right to add to, amend or modify the Terms of Use at any time without notice and any such additions, amendments or modifications are effective immediately upon their posting to the Site. You should visit this webpage periodically to review the Terms of Use that govern your access, use and transactions of the Site and which are legally binding on you.

License & Intellectual Property Rights

As a user of this Site you are granted a limited, non-exclusive and non-transferable license to access and make personal use of the Site, provided the Site is not modified or downloaded (other than page caching). This includes a limited license to use (display or print) short extracts of the information for your own personal, non-commercial use only and always provided that the information is not modified. The Banff Centre owns the intellectual property rights, including copyright, in and to this Site, or has acquired the necessary licenses. The Banff Centre’s rights (including but not limited to those related to the contents of the Site and its compilation) are protected by Canadian and international laws and specifically, but not limited to, copyright and trademark laws. Unauthorized use of the Site may violate copyright, trademark and other laws.

Limitation on Liability & Disclaimer of Warranties/Conditions

You are fully responsible for any consequences resulting from use of the Site. The information is provided in good faith on an “as is” basis and was current and the time of posting for use on the Site. The information on the Site is provided for educational or informational purposes only.

The Banff Centre does not guarantee the quality, accuracy, completeness or timeliness of the information on the Site. While every effort is made to verify the information provided, the Site may contain typographical errors, technical inaccuracies or other errors and should not be assumed to be free of any errors. Where information has been provided by third parties it has not necessarily been verified by The Banff Centre. Prices and availability of tickets or any other products and services offered by The Banff Centre are subject to change at any time without notice. All prices are listed in Canadian dollars and are exclusive of GST and any other applicable taxes or fees which may be applicable. Payment terms are at The Banff Centre’s sole discretion.

The Banff Centre shall not be responsible for any direct, indirect, special, incidental consequential or other damages arising out of or in connection with use of the Site, in reliance on the information contained on the Site, or misinterpretation of any information on the Site, including, but not limited to any loss of use, loss of data, lost business profits, business interruption, personal injury or any other personal or pecuniary loss, whether the action is in contract, tort (including negligence) or other tortious action. Furthermore, The Banff Centre shall not be liable for any such losses or damages resulting from a failure caused by an event beyond its control (a force majeure event) or by any other cause not within The Banff Centre’s control.

Computer Viruses

The Banff Centre makes all reasonable efforts to ensure all information provided on the Site does not contain computer viruses. However, you should take precautions to scan for computer viruses and ensure that you have a complete and current backup of applicable items or information contained on your computer system.

Indemnity

You agree to indemnify, defend and hold harmless The Banff Centre its officers, employees, affiliates and authorized representatives from and against any and all liabilities, actions, damages, losses, demands, costs, claims or expenses of any kind (including but not limited to any lawyer’s fees) arising out of or relating to any prohibited use of the Site. If you violate or infringe upon the rights of any third party they have all remedies at law and in equity to enforce their rights against you to the extent applicable arising from your actions.

The Site may contain links to third-party websites and are only provided as a convenience to you. Such third-party websites have been independently developed and are independently maintained, and The Banff Centre assumes no responsibility for the accuracy or appropriateness of the information contained in these websites. The inclusion of these websites is in no way an endorsement of any third-party website by The Banff Centre, nor should a link be construed to mean The Banff Centre is associated with any such third-party or that The Banff Centre is legally authorized to use any trademark, trade name, logo or copyrighted symbol that may be reflected in the link.

Termination

Any unauthorized use of the Site will result in immediate termination of the license. The Banff Centre may deny access to the Site to you and anyone claiming to be you or through you without any liability. However, any delay of failure by The Banff Centre to act with respect to a breach or unauthorized use of the Site does not constitute a waiver by The Banff Centre and shall not limit The Banff Centre’s rights in respect of such breach or any subsequent breaches by you.

Severability

In the event that any of the provisions or conditions in these Terms of use should be determined to be invalid, void, or for any reason unenforceable, that condition will be deemed to be severable and will not affect the validity and enforceability of any remaining provision or condition.

Entire Agreement

These Terms of Use represent the entire agreement between you and The Banff Centre regarding the use of this Site.

Governing Law & Jurisdiction

The use of this Site and any purchase made on this Site are governed by the laws in force in the Province of Alberta. By agreeing to these Terms of Use you hereby agree and submit to the exclusive personal jurisdiction and courts of Alberta.
